BMAA Governance


Important Notice: In 2020 Government legislation allowed our AGM to be held remotely even though the BMAA Articles of Association  (33.1) indicate that it should be held in a "place". The helpful legislation, which was put in place because of gathering restrictions due to Covid-19, has not been extended beyond 31 March 2021, even though large gatherings are still not allowed.  This means that we either have to postpone our AGM and hope that we can meet again at some point in 2021, or alternatively make a change to the Articles of Association to allow the option for the AGM to be held remotely.

There are advantages to having the option to hold a remote AGM. It allows members to attend without having the expense of travelling together with the time taken, and at times like we are going through at the moment it enables the business of the BMAA to continue.

So the Plan: By this notice the BMAA Council is calling a General Meeting, which can be held remotely, to be held on 8 May starting at 0945. There is just one agenda item, the proposal to change Article 33.1 of the BMAA Articles of Association to allow an option for the BMAA AGM to be held remotely. There will be an online vote and if passed the AGM will then follow as planned. If not passed then the Agenda planned for the AGM will be gone through for information and an alternative date will have to be agreed for a physical AGM to be held.

The Proposal

The wording below is the current Article that restricts how an AGM can be held. Note wording in red:

33.1 The Company shall hold a general meeting in every calendar year as its annual general meeting at such time and place as may be determined by the Board and shall specify the meeting as such in the notices calling it, provided that so long as the Company holds its first annual general meeting within 18 months after its incorporation it need not hold it in the calendar year of its incorporation or in the following calendar year.

The proposal is to change the Article wording to that copied below. Note wording in red:

Attendance

The BMAA General Meeting and the AGM will be held using the Zoom application. To attend the virtual meetings you will need to be able to use Zoom which can be accessed using a computer connected to the internet or mobile devices such as tablets and smart-phones. There is a program/app to set up, so it is best to set up your device before the meeting.
